GNA Academy - Terms of Service

1. Parties

These Terms are between you and GNA Inc. (dba "GNA Academy"), located at Tucson, AZ. "We," "us," and "our" mean GNA Inc.

2. Services

We provide online coaching with two meetings per month and lifetime access to the GNA Academy curriculum (LMS) as described on gnaworks.com and in your order documents.

3. Fees and Payments

  • Annual fee: $15,000, billed once per year unless otherwise agreed in writing

  • Payment method: Processed via Stripe or as otherwise specified on your invoice or checkout

  • Taxes: Fees exclude taxes unless stated; you are responsible for applicable taxes

4. 30-Day Value Refund

If within the first 30 days you receive no value whatsoever, you may request a full refund. Eligibility requires that during the first 30 days you:

  • Attend 100% of scheduled meetings

  • Complete all assigned work and agreed action items on time

If you have not met both conditions, or if some value has been delivered, the refund does not apply.

5. Term and Renewal

Unless stated otherwise, the annual term begins on your purchase date and renews annually. You are responsible for keeping your payment method current and managing renewal timelines.

6. Access and Acceptable Use

You will use the services lawfully, not attempt to disrupt or reverse engineer them, and not share credentials beyond authorized users. Do not redistribute or publicly share course materials without our written permission.

7. Recordings and Outputs

We record program and coaching calls. By participating, you consent to being recorded. We may use recordings internally for quality and training. We will not publish your confidential information publicly without consent.

8. Intellectual Property

All content, curriculum, and materials we provide are owned by GNA Inc. or our licensors. We grant a limited, non-transferable license for your internal business use during your term, subject to these Terms.

9. Confidentiality

Each party will protect the other's confidential information and use it only to deliver or receive the services.

10. Disclaimers

Services are provided "as is." We do not guarantee specific business outcomes. You remain responsible for business decisions and compliance.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability related to the services will not exceed the fees you paid in the twelve months before the event giving rise to the claim.

12. Termination

We may suspend or terminate for material breach (including non-payment) after notice and a chance to cure. Upon termination or non-renewal, your access ends and you must cease use of materials unless we expressly allow otherwise.

13. Governing Law and Venue

These Terms are governed by Delaware law. Venue and jurisdiction are in state or federal courts located in Arizona, and you consent to those courts' jurisdiction.

14. Changes

We may update these Terms. Posting a new "Last updated" date indicates changes. Continuing to use the services after updates means you accept the new Terms.
